In the race to dominate artificial intelligence, technology giants like Meta, Google, Amazon, and Microsoft are circumventing regulatory barriers on mergers and acquisitions by engaging in billion-dollar talent grabs from promising AI startups. These deals, often structured as licensing arrangements or strategic investments, enable major firms to snap up founders and core staff while leaving the remnants of the startups—now dubbed “zombie companies”—in limbo. Venture capitalists lament that the result is hollowed-out organizations, with traditional paths to IPOs or full acquisitions disrupted and the bulk of financial rewards accruing to a handful of founders and engineers. While some exceptional deals, such as Meta’s investment in Scale AI, yield handsome returns for early backers, many remaining employees and investors find themselves abandoned as their startups are gutted. As regulators, especially in the US and Europe, attempt to keep pace with evolving deal structures, concerns mount that these practices are stifling innovation and consolidating AI talent within a small set of dominant firms.
